1. Who we are & accepting these terms
SparkFrame (“SparkFrame”, “we”, “us”, “our”) is operated by SPARKABLE DIGITAL SOLUTIONS (OPC) PRIVATE LIMITED, a company incorporated in India. These Terms & Conditions (“Terms”) form a legally binding agreement between you and us and govern your access to and use of the SparkFrame website, application, and related services (together, the “Service”).
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
2. Eligibility
You must be at least 16 years old (or the minimum age of digital consent in your country, if higher) to use the Service. By using SparkFrame you confirm that you meet this requirement. If you are using the Service on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms.
3. What SparkFrame does
SparkFrame is an AI-powered content platform for social media. It helps you turn your ideas and brand information into posts and visuals across three modes (Storytelling, Value Posts, and Creative Ads), using an agent that can generate images through third-party AI models. The Service is provided to assist you; you remain responsible for reviewing, editing, and deciding how to use anything it produces.
4. Your account
Accounts are created and secured through our authentication provider, Clerk. You agree to provide accurate information, to keep your login credentials confidential, and to be responsible for all activity that happens under your account. Please tell us promptly if you believe your account has been accessed without your permission.
5. Credits, plans & billing
SparkFrame uses a credit system. New accounts receive a number of free credits, and image generation consumes credits depending on the model and resolution you choose. We may offer paid plans or credit packs; details, prices, and any included allowances are shown at the point of purchase.
When paid plans are available, payments are processed by Dodo Payments acting as our Merchant of Record. This means Dodo Payments is the seller of record for those transactions and is responsible for processing your payment, handling applicable taxes, and issuing invoices. Your purchase is also subject to Dodo Payments’ own buyer terms, and your card details are handled by Dodo Payments, and we do not store them.
6. Refunds & cancellation
SparkFrame is a digital service and credits are consumed as you generate content. Credits that have already been used are generally non-refundable. You can stop using the Service or cancel a recurring plan at any time; cancellation stops future charges but does not retroactively refund a period already paid for, except where required by law.
Because Dodo Payments is the Merchant of Record, eligible refunds are handled through Dodo Payments in line with their refund process and applicable law. Nothing in these Terms removes any non-waivable statutory rights you may have as a consumer, including any mandatory “cooling-off” or withdrawal rights under EU/UK or local consumer law. If you believe you are entitled to a refund, contact us and we will help.
7. Your content & ownership
“Your Content” means the text, prompts, brand information, and images you provide, and “Output” means the content the Service generates for you in response.
- Your inputs stay yours. You keep all rights you already hold in Your Content.
- Your outputs are yours. As between you and us, you own the Output you generate, to the maximum extent permitted by applicable law (see the AI disclaimer below regarding the limits of copyright in AI-generated material).
- Licence to run the Service. You grant us a limited, worldwide, royalty-free licence to host, store, process, transmit, and display Your Content and Output solely to operate, maintain, and improve the Service and to provide it to you. This licence ends when you delete the relevant content or your account, except for copies we are required to retain by law or that remain transiently with our providers.
- You are responsible for Your Content. You confirm that you have the necessary rights to your inputs and that Your Content and your use of Output do not infringe anyone else’s rights or break the law.
8. AI-generated content: important disclaimer
Output is produced by automated AI models and may be inaccurate, incomplete, or unexpected, and may unintentionally resemble existing works. The legal status of copyright in AI-generated material is unsettled and varies by country, and in some places such material may not be protectable at all. We do not guarantee that Output is unique, accurate, fit for any particular purpose, or free of third-party rights.
You are responsible for reviewing Output and for ensuring you have the rights you need before using it, especially for commercial or public use. We recommend human review of anything you publish.
9. Acceptable use
You agree not to use the Service to:
- break any law or infringe anyone’s rights;
- create or distribute content that is hateful, harassing, defamatory, or that sexualises minors or depicts child sexual abuse;
- impersonate any person or organisation, or create deceptive content (including, where the law requires disclosure, passing AI-generated content off as human-made);
- generate malware, spam, or content designed to deceive, defraud, or harm;
- scrape, reverse-engineer, overload, or otherwise abuse the Service, or attempt to circumvent credit limits, usage limits, or security measures;
- violate the rules of any platform where you publish Output (for example LinkedIn or X) or the usage policies of the underlying AI providers.
10. Our intellectual property
The Service itself, including the SparkFrame software, design, templates, and branding, belongs to us or our licensors and is protected by intellectual-property laws. These Terms do not give you any rights in the Service other than the limited right to use it as described here.
11. Third-party services
The Service relies on third parties, including Clerk (authentication), our hosting and database providers, AI model providers reached through the Vercel AI Gateway, and Dodo Payments (payments). Your use of those features may also be subject to the relevant third party’s terms. We are not responsible for third-party services we do not control.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will meet your requirements. Nothing in this section limits rights that cannot be excluded under applicable consumer law.
13. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. To the extent we are found liable, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the three months before the event giving rise to the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless SPARKABLE DIGITAL SOLUTIONS (OPC) PRIVATE LIMITED and its officers from any claims, damages, and reasonable costs arising out of Your Content, your use of Output, or your breach of these Terms or of applicable law.
15. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. When your account is deleted, your content is removed as described in our Privacy Policy.
16. Changes to the Service & these Terms
We may update the Service and these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continuing to use the Service after changes take effect means you accept the updated Terms.
17. Governing law & disputes
These Terms are governed by the laws of India, and the courts at the company’s registered location in India will have jurisdiction over any disputes, without limiting any mandatory consumer-protection rights you have under the law of your country of residence.
